Overview
We are looking for a Company Secretary / Corporate Services Specialist to support the setup, maintenance, and ongoing governance of the group’s global entities.
This role focuses on overseas company incorporation, corporate records management, and coordination with external service providers (eg, corporate secretarial firms, law firms, and agents).
The ideal candidate is experienced in working with offshore structures and international corporate service providers, and is comfortable managing multiple entities across jurisdictions in a fast-paced, global environment.
Key Responsibilities
Corporate Secretarial & Entity Management
- Manage the incorporation, dissolution, and restructuring of overseas entities across multiple jurisdictions
- Maintain and update statutory records, corporate documents, and company registers (eg, directors, shareholders, UBOs)
- Coordinate annual filings, renewals, and compliance requirements (eg, annual returns, economic substance, local filings)
- Ensure proper corporate governance documentation, including board resolutions and shareholder resolutions
Service Provider & Stakeholder Coordination
- Act as the main point of contact with corporate service providers, company secretarial firms, law firms, and registration agents
- Liaise with banks and external partners for account opening and corporate documentation preparation
- Coordinate internally with Finance, Tax, Legal, and Business teams to ensure alignment on entity structure and requirements
Corporate Operations & Documentation
- Prepare, review, and manage corporate documents and onboarding packs required for banks, partners, and regulators
- Track and manage entity lifecycle status, ensuring timely updates and visibility to stakeholders
- Support group structure optimization and entity management projects
Process & Governance Optimization
- Build and improve internal processes for entity management and documentation tracking
- Ensure accurate documentation and improve efficiency across multiple jurisdictions
- Identify risks or gaps in entity management and escalate where necessary
Required Skills & Experience
- Bachelor’s degree
- 3–6 years experience in company secretarial / corporate services / entity management
- Hands-on experience with overseas company incorporation and maintenance (e.g., BVI, Cayman, HK, Singapore, etc.)
- Familiar with working with corporate service providers / registered agents / offshore service firms
- Strong organizational skills with the ability to manage multiple entities and deadlines simultaneously
- Fluent in English and Mandarin (written & spoken)
- Detail-oriented, proactive, and able to work independently in a fast-paced environment
Nice to Have
- Experience in fintech / financial services / crypto industry
- Familiarity with bank account opening processes for offshore entities
- Exposure to group structure management or cross-border corporate setup
- Experience working with global teams across different time zones.
